By accessing or using Closers Quantum ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Closers Quantum is a sales call tracking and analytics platform that helps sales teams track calls, measure performance, and optimize close rates. The Service includes:

• Call and lead tracking
• Real-time analytics and dashboards
• Team leaderboards and performance metrics
• Integrations with third-party booking platforms
• Custom fields and outcome tracking

3. User Accounts

To use the Service, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Be at least 16 years old
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Violate any laws in your jurisdiction
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code

5. Subscription and Billing

Our pricing is revenue-based with the following terms:

• Subscriptions are billed monthly or yearly in advance
• All fees are non-refundable except as required by law
• We may automatically upgrade you to a higher tier if you exceed your plan limits
• You will be notified before any plan changes
• Failed payments may result in service suspension
• You can cancel at any time; access continues until period end

6. Free Trial

New users receive a 14-day free trial on the Starter plan. No credit card is required. At the end of the trial, you must select a paid plan to continue using the Service, or your account will be downgraded to read-only access.

7. Data Ownership and Privacy

You retain all rights to your data. By using the Service, you grant us a license to:

• Store, process, and transmit your data to provide the Service
• Create anonymized, aggregated analytics
• Back up your data for disaster recovery

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may suspend the Service for maintenance, updates, or due to circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

The Service, including all content, features, and functionality, is owned by Closers Quantum and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

10. Termination

We may terminate or suspend your account at any time for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended period of inactivity

Upon termination, you have 30 days to export your data before permanent deletion.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSERS QUANTUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

13. Indemnification

You agree to indemnify and hold harmless Closers Quantum from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.
